Introduction

These Terms of Service ("Terms") govern your access to and use of the services, website, and applications (collectively, the "Service") provided by Replybee, operated by Sukhdeep Singh and our team ("Company", "us", "we", or "our").

Our Service is available at https://replybee.ai/ and https://app.replybee.ai/.

By creating an account or using the Service in any way, you agree to these Terms. If you do not agree, you must not use the Service. These Terms work alongside our Privacy Policy, which describes how we handle your data.

Definitions

• Service means the Replybee.ai website, application, APIs, widgets, and all related tools and features.
• User (also referred to as "you") means any individual or entity that accesses or uses the Service.
• Account means the unique account created for you to access and use the Service.
• Content means any text, data, information, images, or other materials uploaded, submitted, or generated through the Service.
• Subscription means a recurring payment plan that grants access to the Service.

Account Terms

To use the Service, you must create an account. When you create an account, you agree to provide accurate, complete, and current information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

• You must be at least 18 years of age to use the Service.
• You must provide a valid email address and any other information requested during the registration process.
• You are responsible for keeping your password secure. We cannot and will not be liable for any loss or damage from your failure to maintain the security of your account.
• You may not use the Service for any illegal or unauthorised purpose, and you must not violate any laws in your jurisdiction.
• One person or legal entity may maintain no more than one free account at any time.

Service Description

Replybee provides an AI-powered support agent that can be embedded on your website. The Service allows you to train an AI assistant using your website content and documents, which then answers customer questions on your behalf.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

Payment and Billing Terms

Certain features of the Service require a paid Subscription. By selecting a paid plan, you agree to pay the applicable fees as described on our pricing page.

• All paid plans include a free trial period. You will not be charged until the trial period ends.
• Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan selected).
• All fees are exclusive of taxes. You are responsible for paying any applicable taxes.
• Payments are processed through our merchant of record, Lemon Squeezy. We do not store your payment card details.
• If payment fails, we may suspend access to the Service until payment is successfully processed.

Cancellation and Refunds

You may cancel your Subscription at any time from your account settings. Upon cancellation:

• Your Subscription will remain active until the end of your current billing period.
• You will not be charged for subsequent billing periods.
• We do not provide refunds for partial billing periods or unused portions of the Service.
• After your Subscription ends, your account will revert to a free tier (if available) or be suspended.
• We reserve the right to delete your data after a reasonable period following account cancellation, in accordance with our Privacy Policy.

Your Content

You retain ownership of all Content you upload, submit, or make available through the Service. By uploading Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, process, and display your Content solely for the purpose of providing the Service to you.

• You are solely responsible for the Content you provide and must ensure it does not infringe on any third-party rights.
• We do not claim ownership of your Content and will not use it for purposes other than providing the Service, unless you explicitly consent.
• We may remove Content that violates these Terms or is otherwise objectionable, at our sole discretion.

Intellectual Property

The Service, including its original content, features, and functionality, is owned by Replybee and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its software, nor may you reverse engineer or attempt to extract the source code of that software, unless applicable law gives you the right to do so.

Prohibited Uses

You agree not to use the Service to:

• violate any applicable local, national, or international law or regulation;
• transmit any material that is defamatory, obscene, abusive, or otherwise objectionable;
• impersonate or attempt to impersonate the Company, another user, or any other person or entity;
• engage in any conduct that restricts or inhibits anyone's use of the Service;
• attempt to gain unauthorised access to any portion of the Service or any other systems connected to it;
• use the Service for any purpose that is harmful, fraudulent, or deceptive;
• use the Service to distribute spam, unsolicited messages, or malicious software;
• interfere with or disrupt the Service or the servers and networks connected to the Service.

AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate responses based on the content you provide. While we strive for accuracy, AI-generated responses may occasionally contain errors, inaccuracies, or incomplete information.

You acknowledge that AI-generated content is provided "as is" and that you are responsible for reviewing and verifying any information provided by the AI before relying on it or presenting it to your end users. We are not liable for any decisions or actions taken based on AI-generated content.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Replybee, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• your access to or use of (or inability to access or use) the Service;
• any conduct or content of any third party on the Service;
• any content obtained from the Service;
• unauthorised access, use, or alteration of your transmissions or content.

Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.

Indemnification

You agree to defend, indemnify, and hold harmless Replybee and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt and expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us or through your account settings.

Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms.
